Terms of Service
Draft for legal review. The owner fills in the bracketed details before publishing. These terms govern the use of the ThanklyClub service by online store owners.
Parties and subject matter
The service is provided by [Legal entity], [Address], registration number [Registration number] ("ThanklyClub"). The user is an online store owner who has registered an account (the "Store").
ThanklyClub provides the Store with a WooCommerce plugin and access to a network of partner offers. The Store shows offers to its shoppers after an order is paid and receives a share of partner payouts.
Registration and account
- The Store provides accurate information and is responsible for keeping its password and site key secure.
- One account may connect several sites if the Store has the rights to each of them.
- The Store must be a legal entity or a registered sole trader [to confirm: whether private individuals are allowed].
The plugin
The plugin is distributed free of charge under the GPL version 2 or later. The Store decides which gift categories to show; AI recommendations are for guidance only.
The Store may not change offer texts, links, or the partner-offers disclosure, and may not show offers outside the thank-you page and order emails without ThanklyClub's approval.
Compensation
- The Store receives 60% of the amount a partner paid for a new customer. ThanklyClub keeps 40%.
- An earning appears after the partner reports a conversion and becomes final after verification, usually 14–30 days.
- Conversions rejected by the partner are not paid.
- A payout is made when confirmed earnings reach €50, by SEPA transfer to the account specified in the dashboard, [payout frequency].
- The Store is responsible for paying tax on the compensation it receives. [To confirm: invoicing and VAT procedure.]
- ThanklyClub may change the Store's share by notifying it by email at least [Notice period] days in advance. A change does not affect amounts already earned.
Prohibited conduct
- Clicking gifts yourself, asking or incentivizing shoppers to click, using bots, or any other method of inflating clicks.
- Showing the block without a real order, including on test or fake orders in live mode.
- Changing offer links or passing them to third parties.
- Connecting sites with illegal content or content prohibited for the network's advertisers.
Anti-fraud and suspension
ThanklyClub checks impressions, clicks, and conversions for signs of inflation. In case of a breach, ThanklyClub may cancel disputed earnings, suspend payouts until a review is complete, or block the account. We notify the Store of a block by email and state the reason.
Personal data
The plugin does not pass shoppers' personal data to ThanklyClub. How we process the Store's own data as a user is described in the Privacy Policy. The Store is responsible for informing its shoppers in its own privacy policy.
Liability
The service is provided "as is". ThanklyClub does not guarantee any level of income: it depends on order volume, niche, country, and available offers. ThanklyClub is not responsible for partners' goods and services; shoppers contact the partner about those.
ThanklyClub's liability is limited to the amount of compensation paid to the Store in the [Period], except where such a limitation is prohibited by law.
Term and termination
The Store may stop using the service at any time by removing the plugin and closing the account. Confirmed earnings of €50 or more will be paid out in the usual way [to confirm: how a balance under €50 is paid].
The governing law is [Governing law]. Disputes are heard in [Court / jurisdiction], unless consumer protection law provides otherwise.
Changes to the terms
We will notify you of changes to these terms by email at least [Notice period] days in advance. Last updated: [Date].
